1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you and Pristine Homes regarding your use of our website and residential placement services. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

If you do not agree with any provision of these terms, you should discontinue use of our services immediately.

2. Definitions

• "Service" or "Services": Residential placement assistance provided by Pristine Homes, including property search, viewing coordination, lease negotiation, and related professional support.
• "Client" or "You": Any individual or entity engaging Pristine Homes for residential placement services.
• "We," "Us," or "Our": Pristine Homes and its authorized representatives.
• "Property Owner" or "Landlord": The owner of residential property who makes it available for rental.
• "Agreement": The service engagement agreement between you and Pristine Homes, incorporating these Terms and Conditions.

3. Service Description

Pristine Homes provides professional residential placement services in three tiers: Foundation Service, Enhanced Service, and Complete Residence. Specific services included in each tier are detailed on our website and in service engagement agreements.

Our services constitute professional assistance and consultation. We facilitate property search and lease arrangements but do not guarantee specific outcomes or property availability. Property rental agreements are formed directly between you and property owners.

We reserve the right to refuse service or terminate engagement if we determine that we cannot adequately serve your requirements or if circumstances prevent appropriate service delivery.

4. Client Responsibilities

Accurate Information

You agree to provide accurate, complete, and current information regarding your requirements, financial qualifications, and any other matters relevant to property search and lease execution. Misrepresentation may result in service termination and does not relieve payment obligations for services rendered.

Timely Communication

You agree to respond promptly to our communications and property owner inquiries. Delays in response may affect property availability and search timelines.

Property Viewings

You agree to attend scheduled property viewings or provide reasonable notice of cancellation. Repeated no-shows may result in service limitations.

Lease Obligations

Upon entering a rental lease, you assume full responsibility for compliance with lease terms and obligations to the property owner. Our service facilitates lease arrangement but does not assume any tenant obligations on your behalf.

5. Service Fees and Payment

Fee Structure

Service fees are stated on our website and confirmed in service engagement agreements. Fees are denominated in Taiwan Dollars (TWD) and are subject to applicable taxes.

Payment Terms

Payment structure typically includes an initial engagement fee and balance upon lease execution, as specified in your service agreement. Payment is required according to agreed terms regardless of whether you ultimately secure a property, provided we have delivered services in good faith according to the agreed scope.

Refund Policy

Engagement fees are generally non-refundable once services commence. If you terminate services before lease execution, fees for services already provided remain payable. We may provide partial refunds at our discretion in cases of service failure or inability to deliver agreed services.

Additional Costs

Our service fees do not include lease deposits, rental payments, government fees, or other costs associated with property rental. You are responsible for all such costs directly to property owners or relevant parties.

6. Property Information and Verification

We make reasonable efforts to verify property information and ensure accuracy of property descriptions. However, we rely partially on information provided by property owners and cannot guarantee complete accuracy of all details.

You are responsible for conducting your own inspection and evaluation of properties before entering lease agreements. We encourage thorough property viewing and recommend independent verification of any critical features or representations.

Property availability can change rapidly. We update listings promptly but cannot guarantee availability between the time of presentation and your decision.

7. Limitations and Disclaimers

Service Provision

Our services are provided on an "as available" basis. We do not guarantee that our services will be uninterrupted or error-free, though we maintain professional standards and make reasonable efforts to provide consistent service.

No Guarantee of Results

While we apply professional expertise and make diligent efforts to assist your property search, we do not guarantee that you will secure a property or that any particular property will be available or suitable. Property rental depends on numerous factors including landlord decisions, market conditions, and your qualifications.

Professional Advice Disclaimer

While we provide professional real estate placement services, we are not attorneys and do not provide legal advice. Our lease review service involves examination by legal professionals but should not be considered a substitute for independent legal counsel. We recommend consulting your own attorney for legal questions.

Third-Party Actions

We are not responsible for the actions or decisions of property owners, other tenants, building management, or other third parties. Property owners make final decisions regarding tenant selection and lease terms.

8. Limitation of Liability

To the maximum extent permitted by Taiwan law, our total liability to you for any claims arising from our services shall not exceed the total fees you have paid to us for those services.

We shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, lost opportunities, or property damage, even if we have been advised of the possibility of such damages.

This limitation applies to claims based on contract, tort, strict liability, or any other legal theory, except where prohibited by applicable law.

9. Confidentiality

We maintain confidentiality of your personal information as detailed in our Privacy Policy. You agree that we may share necessary information with property owners and service providers as required to deliver our services.

Both parties agree not to disclose confidential information learned during the service relationship except as required by law or with explicit permission.

10. Intellectual Property

All content on our website including text, graphics, logos, images, and software is the property of Pristine Homes or its licensors and is protected by Taiwan and international copyright laws.

You may view and print content for personal reference but may not reproduce, distribute, modify, or create derivative works without our written permission.

Property listings and photographs are provided for client evaluation purposes and may not be used for commercial purposes or shared publicly without authorization.

11. Termination

Termination by Client

You may terminate our services at any time by providing written notice. Termination does not relieve your obligation to pay for services already rendered. Any prepaid fees for services not yet provided may be refunded at our discretion.

Termination by Pristine Homes

We reserve the right to terminate services if you breach these terms, fail to provide required information, engage in inappropriate behavior toward our staff or property owners, or if we determine we cannot adequately serve your needs. In such cases, fees for services rendered remain payable.

Effect of Termination

Upon termination, we will cease active property search efforts but will provide reasonable assistance with any ongoing processes. Provisions regarding payment, confidentiality, and limitation of liability survive termination.

12. Dispute Resolution

Governing Law

These Terms and Conditions are governed by the laws of Taiwan, Republic of China. Any disputes shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.

Informal Resolution

Before initiating formal proceedings, both parties agree to attempt good faith resolution through direct negotiation. Either party may request mediation through a mutually acceptable mediator.

Legal Proceedings

If informal resolution fails, disputes shall be resolved through the court system in Taiwan. Each party shall bear its own legal costs unless otherwise determined by the court.

13. General Provisions

Entire Agreement

These Terms and Conditions, together with your service engagement agreement and our Privacy Policy, constitute the entire agreement between you and Pristine Homes regarding our services.

Severability

If any provision of these terms is found unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations to a successor entity in the event of a business transfer.

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, or other force majeure events.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date.

Your continued use of our services after changes constitutes acceptance of the modified terms. We recommend reviewing these terms periodically. Material changes will be communicated to active clients via email.
